“Platform” – The GFIRS marketplace, rating engine, and associated technology.
“Founder” – A company or representative seeking funding or advisory services.
“Investor” / “Funder” – Any individual or institution seeking investment opportunities.
“GFI Score” – The proprietary GFIRS rating score.
“Services” – Ratings, advisory, due diligence, intelligence, and marketplace services.

3. Nature of Services

GFIRS provides:

  • Independent company ratings

  • Investment readiness advisory

  • Verified due diligence

  • Marketplace connectivity

  • Market intelligence reporting

GFIRS is not:

  • A registered investment advisor

  • A broker-dealer

  • A bank

  • A fiduciary

We do not guarantee funding outcomes.

4. The GFI Score Disclaimer

The GFI Score:

  • Is based on data provided and independently verified information

  • Represents an assessment at a specific point in time

  • Is not a guarantee of performance or financial success

Investors must conduct their own independent investment analysis.

GFIRS shall not be liable for investment decisions made based on the GFI Score.

5. Founder Obligations

Founders agree to:

  • Provide accurate, complete, and truthful information

  • Update material changes promptly

  • Not misrepresent financial or operational data

  • Cooperate with verification processes

Providing false information may result in suspension or removal from the platform.

6. Investor Obligations

Investors agree to:

  • Conduct independent due diligence

  • Not rely solely on platform data

  • Comply with securities laws in their jurisdiction

  • Maintain confidentiality of non-public information

7. Fees

Certain services may be subject to fees, including:

  • Rating fees

  • Advisory fees

  • Due diligence fees

  • Data subscription fees

Fees will be agreed separately in writing.

8. Intellectual Property

All intellectual property related to:

  • The GFI Score

  • Scoring methodology

  • Algorithms

  • Reports

  • Software platform

Is owned by GFIRS Intelligence Ventures Limited.

Users may not copy, reverse-engineer, distribute, or reproduce proprietary materials without written consent.

9. Confidentiality

Both parties agree to maintain confidentiality of non-public information shared through the platform.

Confidential information may not be disclosed without consent unless legally required.

10. Limitation of Liability

To the fullest extent permitted by law:

GFIRS shall not be liable for:

  • Investment losses

  • Indirect or consequential damages

  • Lost profits

  • Business interruption

Total liability shall not exceed the fees paid for the relevant service.

11. Indemnification

Users agree to indemnify GFIRS against claims arising from:

  • Misrepresentation

  • Breach of these Terms

  • Regulatory violations

  • Fraudulent activity

12. Suspension & Termination

We reserve the right to:

  • Suspend access

  • Remove listings

  • Terminate accounts

Where users violate these Terms or pose regulatory risk.

13. Regulatory Compliance

Users are responsible for compliance with:

  • Local securities laws

  • Anti-money laundering laws

  • Tax obligations

  • Cross-border investment regulations

GFIRS does not facilitate unlawful fundraising.

14. Governing Law
